1. Scope
This End User Licence Agreement ("EULA") is between you and Pronttera and covers the Frostique management portal, the branded web storefront, the iOS and Android applications built for you, and any updates, documentation or supporting tools we provide (together, the "Software").
By installing, accessing or using the Software you accept this EULA. If you do not accept it, do not use the Software.
2. Licence granted
While your subscription is active and paid for, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for your own internal business purposes and to operate your own branded storefront.
The licence extends to the staff members you authorise, within the seat limits of your plan, and to your customers for the sole purpose of browsing and placing orders through your storefront.
3. Ownership
The Software is licensed, not sold. Pronttera and its licensors retain all right, title and interest in it — including source code, design, interfaces, and all intellectual property rights. Your branding applied to a storefront does not transfer any ownership of the underlying Software to you, and nothing in this EULA transfers our rights to you beyond the licence above.
4. Restrictions
You must not, and must not permit anyone else to:
- Copy, modify, translate or create derivative works of the Software, except as the law expressly permits despite this restriction.
- Reverse engineer, decompile or disassemble the Software, or attempt to derive its source code.
- Rent, lease, lend, sell, sublicense, distribute or make the Software available to any third party as a service of your own.
- Remove or obscure any proprietary notice, or misrepresent the origin of the Software.
- Circumvent licence keys, plan limits, feature gates or any technical protection measure.
- Use the Software to build a competing product, or to benchmark it for publication without our written consent.
5. Updates
We may issue updates, patches and new versions, and may deliver them automatically. Updates are covered by this EULA unless they come with their own terms. We may discontinue support for older versions, including versions of mobile apps that platform owners no longer accept.
6. Third-party components
The Software includes third-party and open-source components licensed under their own terms. Where those terms grant you rights beyond this EULA, they prevail for that component. A list of components and their licences is available on request.
Apps distributed through the Apple App Store or Google Play are additionally subject to those stores' terms. Those platform operators are not parties to this EULA and have no obligation to provide support for the Software.
7. Data
Your use of the Software is subject to our Privacy Policy. You remain responsible for the lawfulness of the content and personal data you put into the Software, and for the notices and consents your own customers require.
8. Term and termination
This EULA runs for as long as your subscription does. It terminates automatically if your subscription ends or if you breach it and do not remedy the breach within 14 days of notice.
On termination you must stop using the Software and delete any local copies. Sections on ownership, restrictions, disclaimers, liability and governing law survive.
9. Disclaimer and liability
To the extent the law allows, the Software is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will be error-free or uninterrupted.
Our liability under this EULA is subject to the same limits and exclusions set out in our Terms and Conditions.
10. Governing law and contact
This EULA is governed by the laws of India, with exclusive jurisdiction in the courts of Pune, Maharashtra, India.
